Acceptance of Terms
By accessing and using CheckMy.llc ("the Service"), you agree to these Terms of Use. If you do not agree, do not use the Service.
Description of Service
CheckMy.llc is a free, web-based informational tool that allows users to check whether their LLC Operating Agreement addresses requirements recommended or required by their state's LLC statutes. The Service provides a compliance scorecard based on user-provided answers to guided questions.
Not Legal Advice
CheckMy.llc is an informational tool and does not provide legal advice. No attorney-client relationship is created by using this Service. The compliance scorecard is based on your answers and general state statutory requirements. It does not constitute a legal opinion on your Operating Agreement.
State laws change, and specific circumstances may affect applicability. We recommend consulting a licensed attorney in your state for advice specific to your situation.
CheckMy.llc does not guarantee the accuracy, completeness, or currency of any information provided. While we make reasonable efforts to ensure statute citations are accurate, laws change and we may not reflect the most recent amendments.
User Responsibilities
You are responsible for the accuracy of the answers you provide in the questionnaire. The scorecard results are only as accurate as your inputs.
You agree not to use the Service for any unlawful purpose.
You agree not to attempt to scrape, copy, or redistribute the state requirement data or scoring methodology.
Intellectual Property
All content on CheckMy.llc — including text, design, code, scoring methodology, and state requirement data compilations — is the property of CheckMy.llc and is protected by applicable intellectual property laws.
State statutes cited in the checklists are public law and are not claimed as proprietary. The compilation, organization, and presentation of these statutes in checklist form is proprietary.
Third-Party Links
CheckMy.llc contains links to Minutes.llc and may contain links to other third-party websites. We are not responsible for the content or practices of any linked sites. Minutes.llc is a separate product with its own terms of use.
Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the maximum extent permitted by law, CheckMy.llc and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to reliance on scorecard results.
Changes to Terms
We may update these Terms of Use at any time. Continued use of the Service after changes constitutes acceptance of the updated terms.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.
